Horkheimer's Grossmann critique

Hi I was looking through a new collection of Marcuse's early essays today.
The use of Veblen is fascinating indeed. In a letter to Horkheimer (late
1930s), Marcuse expresses agreement with Horkheimer's Grossmann critique,
apparently an internal document. Does anybody know the contents of the
critique? Have any comments on it? Know why Marcuse, if persuaded by the
critique, then referred so favorably to Grossmann's magnumm opus in Reason
and Revolution?
